General Terms and Conditions for Enable Now B.V. Account Holders

Article 1 General

These general terms and conditions are issued by Enable Now B.V., based in Nieuwkuijk, registered under Chamber of Commerce number 80220134, hereinafter referred to as ‘EnableNow’.

In these general terms and conditions, “Client” refers to the legal entity or business form with whom EnableNow enters into a business agreement or to whom EnableNow makes an offer.

EnableNow holds a license as referred to in Article 2:3a, paragraph one of the Financial Supervision Act (WFT) for operating as a payment institution for providing payment service 8 of the annex to the revised Payment Services Directive (PSD2). EnableNow is supervised by De Nederlandsche Bank and is registered with De Nederlandsche Bank under number R183923.

Article 2 Applicability

These general terms and conditions apply to all offers/proposals and agreements issued and/or concluded by EnableNow. These general terms and conditions also apply to all subsequent proposals and agreements made by or concluded with the same Client.

If one or more provisions of these terms or any provision in the agreement proves to be null or voidable, this does not affect the validity of the remaining provisions in the offer/agreement.

Article 3 Offers and Conclusion of Agreement

An agreement with a Client is established either through the (digital) acceptance of an offer by the Client or through a written acceptance—including acceptance via email—by EnableNow of an assignment from the Client.

Article 4 Execution of the Assignment by EnableNow

EnableNow will carry out the agreed-upon work to the best of its knowledge and abilities. Regarding the agreed-upon work, it is an obligation of effort.

EnableNow will determine—naturally in consultation with the Client—the manner in which the work is executed and who will carry out the work. EnableNow is permitted to engage third parties for the execution of the work.

Article 5 Obligations of the Client

The Client will provide the information requested by EnableNow upon first request and in a timely manner so that EnableNow can properly carry out the assigned work. The Client guarantees the accuracy of the information provided.

Article 6 Know-Your-Customer Principle

The Client will provide all relevant information required to enable EnableNow to comply with all requirements under applicable legislation, including requirements relating to the prevention of money laundering and terrorist financing.

The Client commits to providing all available information necessary for EnableNow to comply with this principle. The investigation generally consists of the following elements:

  • Identification and verification of the Client
  • Checking the authority of the Client’s representatives
  • Determining if the Client is a Politically Exposed Person (PEP)
  • Identifying the Ultimate Beneficial Owner (UBO)
  • The purpose and intended nature of the relationship with the Client
  • Privacy impact assessment

Agreements between the Client and EnableNow are always subject to the full onboarding of the Client, with the above elements being completed with a positive outcome.
